STATUTE I 17 - FOUNDATION FOR 
INTERNATIONAL STUDIES (ESTABLISHMENT AS 
UNIVERSITY ENTITY) STATUTE

2. The Foundation for International Studies situated in the
building in St Paul’s Street, Valletta, formerly housing the
University, is hereby established as a University entity with its own
statute as set out in the Schedule hereto.
SCHEDULE
Statute of the Foundation for International Studies
Article One
1. The name of the Foundation shall be the "Foundation for
International Studies" which shall be a self-governing body
situated at the building in St Paul Street, Valletta where the
University was formerly housed, or any other premises as may from
time to time be determined by the Board referred to in Article
Three.
Article Two
2. The objectives of the Foundation will be:
( a ) to promote and support Institutes, Centres or other
units of the University with an international character,
or such other bodies as the University indicates and the
Foundation recognises;
( b ) the organisation of conferences, courses, seminars,
workshops and other activities with an international
dimension;
( c ) the promotion of university courses, the facilitation of
student and staff exchanges, and the welfare of foreign
students following courses locally;
( d ) the securing of financial and other resources from
abroad in support of the above mentioned objectives.
Article Three
(i) The Foundation shall be governed by a Board of Trustees
which will be finally responsible for the administration of the

property movable and immovable, bestowed upon or acquired by
the Foundation.
(ii) ( a ) The Board shall be composed of the following
members:
- the Rector of the University (as Chairman);
- the Director-General of the Foundation (Deputy
Chairman), who shall be appointed, under
appropriate terms for a five-year period by the
Prime Minister after consultation with the
Council of the University and the Board;
- one person appointed by the Council of the
University;
- two persons appointed by the Senate of the
University;
- the Director-General of UNESCO,  ex officio ;
- the Executive Director of UNCP,  ex officio ;
- not more than three executive directors, or their
nominees, of international or regional,
governmental organisations concerned with the
Foundation’s objectives, who shall be appointed
by the Prime Minister;
- not more than four scholars of repute co-opted
by the Board itself;
- not more than one member nominated by each
body or person having contributed at least
twenty-five thousand liri (Lm25,000) or their
equivalent to the Foundation.
( b ) The Chairman of the Boards of Institutes supported by
the Foundation, or their representatives may be invited
to attend meetings of the Board as observers.
( c ) The nominated persons shall serve for three years and
may be reappointed.
(iii) The Board shall determine general policy regarding the
activities, organization and financial administration of the
Foundation and shall approve its budget.
(iv) The Board shall determine its own rules of procedure.
Decisions of the Board shall be taken by a simple majority.
(v) The Board shall be convened at least once a year.
(vi) The quorum for the Board shall consist of forty per cent of
the voting membership.
Article Four
(i) The Foundation shall be represented by the Director-
General or a person duly nominated by the Board.
(ii) The ordinary administration of the Foundation shall be
vested in the Director-General who shall be the body’s chief
academic and administrative officer. He shall also be an  ex officio
member of the Boards of Institutes supported by the Foundation.

(iii) The Director-General is empowered to enter into contracts
of service and to make appointments on behalf of the Foundation,
in accordance with the policy established by the Board.
Article Five
(i) The audited accounts of the Foundation shall be presented
by the Director General for examination and approval by the Board.
A copy of the audited accounts, together with a report on the
Foundation’s activities, shall be annually presented to the Council
of the University.
(ii) The Foundation’s auditors shall be appointed annually by
the Board.
Article Six
This Statute can be amended by the Board provided that
two-thirds of the members composing the same shall vote in favour
of such an amendment, with the concurrence of the Council of the
University.
Article Seven
In case of the Foundation’s dissolution after a
recommendation to that effect is made by not less than two-thirds
of the Board of Trustees, its property shall go to the University of
Malta, provision being made to safeguard the rights of benefactors
and donors of the institution.
